Manny V. Pangilinan looking at "all-cash transaction" with GMA-7 in case of a buyout

In the event of a buyout, TV5 chairman Manny V. Pangilinan said that they will pay GMA-7 in cash. "We’re looking at an all-cash transaction. The purchase is likely to exceed the threshold that will trigger a mandatory tender offer."

TV5 CEO Manny V. Pangilinan (MVP) is planning to pay for GMA-7 in cash should the buyout push through.

In a statement, MVP said that they are currently having negotiations with the three major stockholders of the Kapuso network—the Duavit, Gozon, and Jimenez families.

Targeting 35 percent of the shares, TV5 is also extending the cash offer to the minority shareholders which will exceed the trigger point for a mandatory acquisition.

“We’re looking at an all-cash transaction. The purchase is likely to exceed the threshold that will trigger a mandatory tender offer,” MVP said in an interview with Philstar.com

But MVP clarified that the operations of the two networks, TV5 and GMA-7, will remain separate in the event of a buyout.

“They have to be separate. They have separate franchises, separate management, separate operations, and separate profiles.”

Apprehensions that the merge of the two networks under Philippine Long Distance Company’s MediaQuest unit will result to a monopoly was denied by MVP, saying that the country has other TV networks.

On rumors that other conglomerates, like San Miguel Corp., are looking to match their offer to GMA-7, MVP said:

“Ultimately, it depends on the three families who control GMA-7 whom they would want to sell to. After all, they are the owners, so they have every right to decide on whom to sell to.”

Talks are said to be moving forward as he last met up with the three families right before he went to the U.S. for the TV5 International launch.

MediaQuest initially offered P14.58 billion for 67 percent of the shares, but the negotiation failed when the amount went down to P12 billion.

MVP remains positive than an agreement will be reached before the end of the year.

    may gustong iparating itong babayaran ng cash ni mvp ang gma once ok n ung merger.. gusto nitong patunayan na may pera sila at hindi lugi.. well hindi matatakpan ng cash buyout na ito ang pagkalugi ng tv5.. may bago nga silang show, ang tanong, nagrerate? may nag-aadvertise ba sa knla? mismong si sharon cuneta na nga ung nagulat nung may nagpapa-advertise sa kanila, see? ni si sharon wlng tiwala sa show nia..

    oo nga eh, siya lang bumubuhay sa gma.. pano wlang bankable stars ang gma, xa nlng lagi.. kapag napagod yan dahil inaabuso ng gma, lilipat din yan sa abs.. kita mo.. magbilang ka lang ng taon.. kung gusto nmn nia n mahabang pahinga bago mabigyan ng next project pgktpos ng isa, sa tv5 siya,, total pahinga ang ibbigay,, wlng show.. hahahaha

    but really i dont understand why gma will sell if they are profitable. after the years of hardwork and and claiming to be number 1, ibebenta mo. businesses are sold if they losing and cannot foresee any possibility to recover from losses. but based on whatever they publish, they are earning naman. or maybe mvp is dreaming lng.

    tita it is not as easy as you think it is...malaki ang politika sa GMA. 3 family owners...ibig sabihin maraming ideya at opinion. maraming clouts at manok. so kung gusto ng 2 or isang pamilya ang magbitiw at gusto ng malaking cash on hand...anong paki mo? sila ang may ari or major stockholders...hinde ikaw! kung ayaw mo ibenta ang ukay ukay business mo dahil gusto mo ipamana sa apo sa tuhod, fine.

    if you sell a company when it's not making money, the party that is buying your company will low ball you, you will most likely sell below market value. selling their shares to mvp will catapult the three major shareholders from millionaires to billionaires.

    yukie85 oo nga naman bakit ibebenta ni Lopez kung walang bibili? Kanino nya naman ibebenta in the first place diba? Yung kita kung gusto mo malaman ang kita ng GMA saka ABS CBN punta kasa stock market naka post ang FINANCIAL STATEMENT NILA DUN. malamaman mo kung sino ang kumikita at kung sino ang baon na baon sa bilyon bilyong utang. Yung advice ko sa yo yan ang ginagawa ng mga taong nakapag aral hindi yung paniwala ng paniwala sa mga press release mga enggot lang yung mga taong ganun.
