Atty. Ferdinand Topacio says Nadine Lustre leaving Viva "very wrong move legally"

Atty. Ferdinand Topacio on Nadine Lustre's move to terminate her exclusive contract with Viva: “She could be liable for breach of contract. Yung kanyang kakontrata might be liable under Article 1314 of the Civil Code for courteous interference in a contract.”

“Very wrong move legally” ang pagkalas ni Nadine Lustre sa exclusive contract niya sa Viva Artists Agency.

Ito ang opinyon ni Atty. Ferdinand Topacio sa pag-“terminate” ng 26-anyos na aktres sa kontrata nito sa Viva.

Sa isang official statement noong January 27, sinabi ng legal counsel ng aktres na si Atty. Lorna Kapunan na karapatan ni Nadine kumalas sa kontrata nito sa Viva.

Ito ay alinsunod umano sa “Civil Code of The Philippines, specifically Article 1920.”

Giit naman ni Atty. Topacio, mali ang probisyon ng Civil Code na pinagbasehan ng argumento ng kampo ng Kapamilya actress.

Aniya, “My point of view as an entertainment lawyer is that yung case ni Ms. Nadine Lustre, mali po yung basis.

“Ang sina-cite nila is Article 1920 ng Civil Code. Yun po ay pertains to simple agency.

“Halimbawa, ako po ay nagbebenta ng alahas o nagbebenta ng bahay, yun po ang sinasabing puwede mong i-rescind yung agency.

“E, 'yan, talent-agency contract, it’s more than that.

“It’s more complicated because it’s vested with interest.”

Nakausap ng PEP.ph (Philippine Entertainment Portal) at ibang reporters si Atty. Topacio sa Viva 2020 Vision thanksgiving party nitong Martes ng gabi, January 28.

Dumalo sa event ang abogado bilang film reviewer ng isang broadsheet.

“WRONG MOVE LEGALLY… PROFESSIONALLY”

Sa showbiz, ang mga dating mga kliyente ni Atty. Topacio ay sina Claudine Barretto, Sarah Lahbati, Bea Binene, Deniece Cornejo, at Yasmien Kurdi.

Sa pulitika, ang mga kliyente ni Atty. Topacio ay sina dating Presidente Gloria Macapagal Arroyo, dating First Gentleman Mike Arroyo, at dating Governor Luis "LRay" Villafuerte.

Sa mga kasong murder naman, defense lawyer si Topacio nina dating Governor Joel Reyes at kapatid nitong dating Mayor Mario Reyes, na mga akusado sa pagpatay sa broadcast journalist na si Gerardo Ortega.

Dahil sa kanyang malawak na karanasan sa pag-aabogado para sa ilang celebrities, hiningan ng opinyon sa isyu si Atty. Topacio, na nagsabing fan siya ni Nadine.

“It was a very wrong move legally, and I think professionally also, on the part of Ms. Nadine Lustre.

“Don’t get me wrong, I’m a fan actually.

“I was the first one who said that Nadine is the greatest actress of her generation, but iba yung ability as an actress, iba yung mga ganitong professional moves,” anang abogado.

“LEGAL CONSEQUENCES” VS NADINE, FUTURE CONTRACTS

Ayon kay Atty. Topacio, magkakaroon ng problemang legal ang sinumang indibiduwal o anumang kumpanya na makikipagtransaksiyon kay Nadine para sa mga susunod na projects ng aktres.

Ito, aniya, ay dahil “existing,” o may bisa pa rin, ang kontrata ni Nadine sa Viva.

“I don’t want to be technical, pero mali po talaga yun.

"At ang aking problema pa po rito—I don’t know if Ms. Lustre was properly advised by her lawyers—but, pati po yung mga people who would be contracting with her, for instance, for endorsement or movie contract, habang itong kontrata with Viva is existing, may be civilly liable also under Article 1314 of the Civil Code, because they are interfering courtesy in an existing contract.

“E, bawal po yun sa batas, so talagang magkakaroon po 'yan ng problema.”

Aniya, maaaring makasuhan, hindi lang si Nadine, kundi maging ang bagong kokontrata sa aktres para sa serbisyo nito.

“There’s a very real danger that if Viva flexes its legal muscle, e, talagang medyo magkakaroon ng problema in every contract she enters into.

“She could be liable for breach of contract.

“Yung kanyang kakontrata might be liable under Article 1314 of the Civil Code for courteous interference in a contract.”

Ganito rin ang nakasaad sa tugon ng Viva Artists Agency kasunod ng paglabas ng press statement ng kampo ni Nadine.

Iginiit ng kumpanya na may “valid and subsisting Management Contract” si Nadine sa Viva, at nananatili pa ring “exclusive artist” nito ang aktres.

Kaugnay nito, binigyang-diin ni Atty. Topacio na may karapatan ang big boss ng Viva na si Vic del Rosario Jr. na harangin sa korte ang pagkalas ni Nadine sa talent management company.

“They have to face the legal consequences of their action.

“And I don’t know kung ano ang gagawin ni Boss Vic, but if he goes to court to stop all of these, considering na may existing contract, he would be well within his rights.”

ALL CONTRACTS ARE SACRED

Ayon sa abogado, ang anumang pirmadong kontrata ay sagrado, kaya hindi maaaring basta-basta na lang balewalain ito nang hindi namamagitan ang korte.

Paliwanag ni Atty. Topacio, “Alam ninyo, may mga mechanism 'yan.

"Merong you can sit down or, extreme case, you go to court.

"But a person who enters a contract cannot just say, ‘Ayoko na.’

“A contract is the law between the parties. At sabi nga nila, kapag nagkontrata ka, wala nang bawian. No erase.

“So, kailangang i-honor niya yung contract.”

Sinabi ng abogado na hindi niya personal na kilala si Nadine kaya wala siyang ideya kung bakit naisip nitong bigla na lang talikuran ang pinirmahang kontrata.

Una nang inilarawan ni Atty. Kapunan na “unconscionable, oppressive and illegal" ang kontrata ng aktres sa Viva.

Reaksiyon dito ni Atty. Topacio, “Well, I don’t know what impelled her to do that… wala tayong pakialam kay Ms. Nadine, kasi hindi ko kilala siya.

“I don’t know her from Adam, but I was disappointed because, para sa akin, as a lawyer and as a person who enters into contracts also with other people, for me, a contract is sacred.

“Kapag sinabi mo, you give your word. You sign that, and yun ay sagrado.

“Yung sinasabi mong oppressive, etcetera, e, hindi ka naman siguro papasok sa kontrata na oppressive. Yung lopsided.

“Sana, hindi ka na lang pumirma.”

POSSIBILITY OF CONTRACT BUYOUT

Nang tanungin ng entertainment press kung uubra bang i-buyout ni Nadine ang kontrata niya, sinabi ni Atty. Topacio na maaari ito.

Subalit kakailanganin pa ring kausapin ng mga kukuha sa serbisyo ng aktres ang pamunuan ng Viva.

“If there’s someone interested in securing Ms. Nadine Lustre’s services at kinausap nila ang Viva, and Viva agrees for a certain price to release her from her contract, puwede naman yun,” sagot ng abogado.

Ayon kay Atty. Topacio, sana sa simula pa lang ay nakipagdayalogo na lang ang kampo ni Nadine sa pamunuan ng Viva, bilang pagpapakita na rin ng “sense of gratitude” sa kumpanyang nagtiwala at nagpasikat sa aktres.

“Sana, ganoon ang ginawa, inupuan na lang,” ani Atty. Topacio.

“Parang all of a sudden, ito yung tao na who took a chance on you when you were just doing commercials and nothing else.

“At saka marami naman talents, but they took a chance.

“Sana naman there should be some sense of gratitude, at least.

“Hindi na ito legal kundi it’s moral.”

JADINE LOVE TEAM WITH JAMES REID

Taong 2009 nang maging exclusive artist ng Viva si Nadine, nang ilunsad siya bilang miyembro ng all-female group na Pop Girls.

Gayunman, sumikat ang aktres bilang ka-love team ng ex-boyfriend na niya ngayong si James Reid.

Sabay silang nabigyan ng break sa showbiz nang magtambal sa pelikulang Diary ng Panget, under Viva Films, noong 2014.

Onscreen love team na sina Nadine at James bilang JaDine nang magbida sa dalawa pang pelikula ng Viva Films, ang Talk Back and You're Dead (2014) at Para Sa Hopeless Romantic (2015).

Pero noong October 4, 2019, opisyal nang kumalas si James sa Viva.

Noong December 2019 naman, pumirma si Nadine ng kontrata sa Careless Music, ang independent record label ni James.
