Kabilang na sa board of directors ng San Miguel Corporation (SMC) ang aktres na si Lani Mercado. Isa siya sa labinlimang direktor at tanging babae sa board ng SMC, na kinikilalang isa sa pinakamalaking food and beverage company sa buong Southeast Asia.
Tinanggap ni Lani ang posisyon bilang appointee ni Presidente Gloria Macapagal-Arroyo mismo.
Sa panayam ng PEP kay Lani kagabi, Hulyo 31, ipinaliwanag nito ang background ng kanyang appointment: "Bale si Daddy, si Ramon Revilla, Sr., ang nagsabi sa akin na, 'I submitted your name in Malacañang to be part of the SMC board of directors.' Sabi ko, 'Daddy, okey lang po ba 'yan?' Sabi niya, 'Tingnan natin, kung pipirmahan ng Pangulo, di okey siya.'"
Taong 2007 pa nang i-submit daw sa Malacañang ni dating Senador Ramon Revilla, Sr. ang pangalan ng kanyang daughter-in-law. Si Lani ay asawa ng anak ng senador na si Ramon Revilla, Jr., na lalong kilala bilang Bong Revilla at isa na ring senador ngayon.
At bilang pag-aaral daw ni Lani papunta sa pagiging miyembro ng SMC board of directors, binigyan muna siya ng mga puwesto bilang miyembro ng board of directors din ng tatlong magkakaibang opisina at kumpanya ng SMC.
"First, they got me as [a member of the] board of directors for Anchor Insurance, then for SMC Hong Kong, and for Purefoods. I did that for a year with them," pagsalaysay ni Lani.
Ngunit bago raw siya binigyan ng final appointment, inalok din sa kanya ang puwesto bilang executive director ng Center for International Trade Expositions and Missions (CITEM), na tinanggihan naman niya.
"Kasi during that time, the job requires me to be at the office full-time," paliwanag ng aktres at TV host. "E, nung time na yun, I was doing a TV series, yung Saan Darating ang Umaga? sa Channel 7, and ang feeling ko, it would be unfair because I cannot give my full time to that job dahil, siyempre, nagte-taping ako.
"February of this year, hindi pa rin filled yung position. So I was asked again if I was interested in filling that position. I was on the verge of accepting that position when Mr. [Ramon] Ang... talked with me and told me na, 'O, Lani, maa-appoint ka na.' So I accepted the SMC board position." Si Ramon Ang ay ang president and chief executive officer ng SMC.
Mas pinili raw ni Lani ang SMC board of directors' position dahil hindi nito niri-require na nasa opisina siya. "Kasi I was going to do then All My Life for Channel 7 again, and sa board of directors naman ng SMC, all I have to do is attend to several, as in maraming-maraming board of directors meetings. I can still have time to tape for the show. SMC will come in-between lang."
SMC SALARIES. Ayon sa PCIJ (Philippine Center for Investigative Journalism), may monthly meetings ang SMC board, kung saan may per diem ang mga direktor na P10,000 bawat meeting.
Ngunit ang talagang malaki ay ang tinatayang suweldo ng mga direktor ng SMC board. Ayon sa mga dokumentong isunumite ng SMC sa Securities and Exchange Commission (SEC) para sa taong 2008, ang suma ng salaries/bonuses/benefits ng SMC directors at officers ay nasa P281.3 million. Dahil merong 103 katao ang pumapaloob sa "directors and officers" ng SMC, kapag na-divide ang amount na iyon, lumalabas na ang average salary ng 103 katao ay pumapatak sa P2.7 million/tao/taon.
Dahil dito, sinasabing choice appointment ang pagmi-miyembro sa board ng SMC, kung saan may limang seats ang gobyerno. Kalimitan, tinitignang parte ng political favors at payback ng Malacañang ang pagpili sa iluluklok dito. Sa kaso ni Lani Mercado, maari itong ma-interpret ng business community bilang favor-payback sa pagitan ng mga Revilla at Gloria Macapagal Arroyo.
LANI'S QUALIFICATIONS. Ayon kay Lani, "Kaya rin siguro kinonsider na rin ng SMC na maging member ako ng board, dahil na rin sa appointed ako ng Pangulo. I hold a government seat sa SMC."
Kontrolado ng gobyerno ang 27 percent ng SMC at allowed ang gobyerno na maglagay ng limang appointees sa board of directors ng kumpanya.
Kabilang sa mga nasa board of directors ng SMC ang mga kilalang mga pangalan sa lipunan at gobyerno, tulad nina GSIS president Winston Garcia, former justice Estelito Mendoza, at GMA-7 major stockholder na si Menardo Jimenez.
Dito, nasabi nga ni Lani, "Nakaka-overwhelm nga na makakasama ko sila sa board. Mga taong hindi biro ang experience sa pag-hold ng position na tulad nito."
Ngunit sa pananaw ni Lani, ang totoong motibo ng Presidente ay simple lang. Gusto rin daw ng Pangulo at ng SMC mismo na magkaroon ng boses ang consumers sa SMC board of directors. Bilang isang ina raw at mamimili rin ng mga produkto ng SMC kaya siya kinonsidera, liban pa raw marahil sa kakayahan niya sa paghawak ng posisyon sa ilang businesses na pag-aari ng kanilang pamilya.
"Although I'm an undergrad, siguro they looked at my experience sa mga corporations na na-handle ko rin. Kasi meron kaming mga self-owned corporations," ang sabi ni Lani, na kumuha ng B.A. Communication Arts at naging Dean's Lister sa Maryknoll College (Miriam College ngayon).
Hindi nga lang daw mabanggit ni Lani ang mga korporasyon na pag-aari ng pamilya nila dahil nakasaad daw sa kontrata na pinirmahan nila ng kanilang mga kasosyo na hindi maaaring banggitin ang mga ito.
