Ramon Ang files billion-peso estafa complaint vs. GMA's Atty. Felipe Gozon after failed business deal

In his sworn affidavit dated July 27, businessman Ramon Ang said that he paid P1 billion for the "exclusivity period" of his negotiation with GMA Network Chairman and CEO Felipe Gozon. But Ang stressed that Gozon agreed to return the downpayment should their negotiation falls through.


Naghain ng reklamong estafa sa Department of Justice (DOJ) ang negosyanteng si Ramon Ang laban kay GMA Network Chairman and CEO Atty. Felipe L. Gozon kaugnay ng naunsiyaming pagbili ng una ng minority stake ng Kapuso network.

Ito ay sa kadahilanang hindi umano ibinalik ni Atty. Gozon ang isang bilyong pisong downpayment na ibinayad ni Ang para sa loob ng panahong sumailalim sila sa isang eksklusibong negosasyon.

Ayon sa ulat ng Rappler online site ngayong araw, August 3, inihayag ni Ang sa kanyang sinumpaang salaysay na ang “exclusivity period” ng kanilang kasunduan ni Atty. Gozon ay opisyal na nagtapos noong November 15, 2014, pagkatapos ng dalawang beses na extension noong taong ding iyon.

Nagkasundo rin silang ibabalik ni Atty. Gozon ang P1 billion-downpayment sakaling hindi mapinalisa ang kanilang negosasyon sa loob ng nabanggit na exclusivity period.

Paliwanag pa ni Ang sa isinumite niyang sinumpaang salaysay sa DOJ na may petsang July 27, 2015: “It was also expressly agreed that in the event the terms and conditions of the transaction documentation are not finalized and concluded by the parties within the exclusivity period, the downpayment *shall be returned to the purchaser *not later than 3 working days from the expiration of the exclusivity period without need of any further notice or demand.”

Nakapangalan umano ang ibinayad na manager’s check ni Ang kay Felipe Gozon.

Maliban kay Atty. Gozon, nahaharap din sa reklamong estafa sina Anna Teresa Gozon-Abrogar, Ismael Augusto Gozon; at ilan pang stockholders ng GMA na sina Belinda Madrid, Ma. Erlinda Gana, Jaime Javier Gana, Florencia Gozon Tarriela, Edgar Tarriela, at Tricia Valderrama.

Sinubukan ng Philippine Entertainment Portal (PEP.ph) na hingan ng reaksiyon ang GMA Ntework hinggil sa reklamong estafa na inihain ni Ang laban kay Atty. Gozon.

Ngunit ayon sa opisyal na pahayag ng GMA Corporate Communications ngayong araw, August 3, wala pang natatanggap si Atty. Gozon na kopya ng naturang estafa complaint sa kasalukuyan.

Sabi sa maiksing official statement ng Kapuso network hinggil sa isyu: "We have not received a copy of the complaint. Our legal counsel will respond accordingly in due time."

Matatandaang June 24, 2014 nang ianunsiyo ng GMA sa isang disclosure notice sa Philippine Stocks Exchange ang tungkol sa pagpayag ng kanilang major shareholders na magbenta ng “minority equity interest” kay Ang, na siyang chief operating officer ng San Miguel Corporation.

Ngunit noong June 23, 2015 ay nag-isyu si Atty. Gozon ng anunsiyo sa mga empleyado ng GMA, sa pamamagitan ng electronic mail, na hindi na tuloy ang pakikipagnegosasyon ng major shareholders ng media company kay Ang.

Sabi sa isang bahagi ng pahayag ni Gozon, base sa ulat ng GMA News Online noong June 23, 2015:

“Narito ang latest—ayon sa majority shareholders ng GMA Network (Jimenez, Gozon at Duavit groups), hindi na tuloy ang pakikipag-usap nila kay Mr. Ang ukol sa pagbili ng minority equity sa outstanding capital stock ng GMA Network.”

Minsan na ring naihayag ni Ang na ikinagulat niya ang biglaang anunsiyo ng GMA na hindi na tuloy ang kanilang negosasyon.

CONFLICT ON DETAILS ABOUT REMAINING PROPOSALS, REQUIREMENTS? Ngunit ayon sa hiwalay na ulat ng GMA News Online noong June 26, nilinaw ng major shareholders ng GMA na umabot ng mahigit isang taon ang hindi matapus-tapos na pakikipagnegosasyon nila kay Ang.

Bandang March 21, 2015 ay pumayag na umano ang major shareholders ng GMA sa lahat ng proposals ni Ang, base sa kasunduan nila noong February 27, 2015.

Sa kabila nito, patuloy pa rin sa pagsumite ng bagong “proposals” at “requirements” si Ang.

Sabi sa opisyal na pahayag ng GMA hinggil dito:

“The major shareholders of GMA Network (the Jimenez, Duavit and Gozon Groups of stockholders) wish to clarify that - contrary to the misimpression that may have been created that they abruptly terminated the negotiations for the purchase by Mr. Ramon S. Ang (RSA) of part of their shares in the network - they were constrained to terminate the negotiations only after (a) more than one (1) year of negotiations, (b) they had accepted on March 21, 2015, all the remaining proposals of RSA as of February 27, 2015, (c) RSA continued to make new/additional proposals and/or make new requirements after the sellers had already accepted all of the proposals of RSA on March 21, 2015, and (d) after the statements of Mr. Gozon during the Company's financial briefing on May 14, 2015 were widely published in the broadsheets that ‘the ball is now in RSA's court,’ that there was no deadline given but decision should be made within a ‘reasonable time.’”
