ABS-CBN addresses Piki Lopez's SEC complaint vs network

Piki Lopez complains of mounting losses; Lopez majority explains loss of trust.

ABS-CBN addresses Piki Lopez's petition for SEC probe
ABS-CBN insists the network should not be dragged into the ongoing Lopez family dispute and defended its employees and management. Patindi nang patindi ang sigalot sa mga Lopez dahil sa napabalitang power struggle at sanga-sangang isyung may kinalaman sa negosyo ng pamilya.

Ito ay matapos maghain ni Federico "Piki" Lopez ng petisyon sa Security and Exchange Commission (SEC) na imbestigahan ang diumano'y paglabag ng ABS-CBN sa Revised Corporation Code and Securities Regulation Code.

May kinalaman ito sa "billions of pesos" na ikinalugi ng kumpanya dahil umano sa kapabayaan ng pamunuan ng Kapamilya network.

Si Piki ay isa sa board of directors ng ABS-CBN, na kasalukuyang pinamumunuan ng chairman na si Mark Lopez.

Sa pamamagitan ng kanyang abogado, inihain ni Piki ang reklamo sa SEC noong May 6, 2026, at nailathala ito sa iba-ibang online news sites noong May 7.

Sabi sa reklamo, umabot sa PHP45.5 billion ang net losses ng ABS-CBN mula 2020 hanggang 2025.

Naubos daw ang naipong kita ng kumpanya na nagkakahalaga ng PHP13.8 billion, at nagkaroon ng deficit na PHP6 billion nang magtapos ang taong 2025.

Diumano, umabot sa PHP10.6 billion ang ibinayad na compensation packages at advances sa top executives at "favored persons" sa kabila ng pinagdadaanang hirap ng kumpanya.

Itinago pa umano ang executive bonuses sa ibang classification sa financial records para hindi masilip ang laki ng suweldo ng top executives.

Hindi raw nakatulong ang mga ito sa kumpanya na mula sa pagiging broadcasting network ay nag-pivot bilang isang major content provider at media company.

May 2020 nang ipasara ang ABS-CBN sa ilalim ng administrasyon ni noo'y Pangulong Rodrigo Duterte.

June 2020 nang tuluyang ibasura ng 70 kongresista ang application for franchise renewal ng dating broadcasting giant.

May ilan pang isyung inireklamo si Piki.

Kinuwestiyon niya ang mga biniling property and equipment na umabot ng PHP12.1 billion sa panahong walang prangkisa ang network.

Isa pang binanggit niya ang diumano'y iregularidad sa idineklarang kita sa dalawang subsidiary ng ABS-CBN para raw magmukhang kumikita ang mga kumpanyang iyon.

Bunsod nito, hiniling ni Piki na gumawa ang SEC ng independent management committee na magsasagawa ng "forensic audit" upang masiyasat nang husto ang financial records ng ABS-CBN at maprotektahan ang assets ng kumpanya.

ABS-CBN SAYS PIKI LOPEZ'S LATEST MOVE "UNFAIR, UNCALLED FOR"

Umalma ang ABS-CBN sa anito'y pilit na pandadawit ni Piki sa away-pamilya ng mga Lopez.

Sa halip na magpokus sa pagbangon ng network, nagsilbing "painful distractions" ang "public accusations" ni Piki laban sa top executives nito.

Ilang ulit na rin daw idiniin ng majority group ng Lopez family na walang kinalaman ang ABS-CBN sa sigalot sa pagitan ng mga magpipinsan.

Bahagi pa ng pahayag ng ABS-CBN kahapon, May 8: "ABS-CBN and its people continue to be dragged into a fight they are not part of.

"ABS-CBN is aware of published reports of an alleged complaint filed by ABS-CBN board director, Federico 'Piki' Lopez's lawyers with the SEC.

"1. The Board of Directors of ABS-CBN has consistently commended the ABS-CBN team for all their efforts and sacrifices to keep ABS-CBN afloat. There have been no recorded objections to these commendations.

"2. Instead of publicly calling out certain employees, and as a Director of the Company, Piki should just engage the Board in constructive discussion. This public discussion is unfair to these employees and is uncalled for.

"3. ABS-CBN's entire workforce continues to focus on returning the company to solid footing."

WHAT THE MAJORITY GROUP OF LOPEZ FAMILY SAYS

Noon lamang April 27, naglabas ng official statement ang majority block ng Lopez family na pinangungunahan ni Eugenio "Gabby" Lopez III at ng minority block na pinangungunahan ni Piki Lopez.

May 71% shares sa korporasyon na Lopez Inc. ang nasa majority block, habang 29% ang nasa minority block.

Labindalawa silang nakapangalan sa pahayag ng Lopez family, kabilang sina Maria Cristina Rosario Lopez Grassi, Roberta Pilar Lopez Feliciano, Maria Margarita Lopez Lichauco, at Maria Eugenia Psinakis Brown.

Kasama rin sina Rafael L. Lopez, Ernesto Miguel L. Lopez, Manuel L. Lopez, Jr., Ramon Javier L. Lopez, Miguel L. Lopez, Michael Lopez Psinakis, at Martin L. Lopez.

Ang kawalan daw ng "good corporate governance" ang dahilan ng pagkawala ng tiwala nila kay Piki.

Hindi raw kasi ito naging transparent sa grupo tungkol sa pagbenta ng gas assets ng Lopez Inc. na nagkakahalaga ng PHP50 billion at pagbili ng energy assets na nagkakahalaga ng PHP62 billion.

Paliwanag ng grupo: "We were neither informed nor consulted about the P50-billion sale of 60% of First Gen’s natural gas business to Prime Infrastructure last November.

"Again, the same happened this April, when First Gen acquired a 33% stake in Prime’s hydropower business for P62 billion. Excluding us from such significant decisions was a clear failure in Piki’s fiduciary responsibility and a circumvention of corporate governance.

Ang Lopez Inc. ay parent company ng Lopez Holdings Corporation, na may hawak sa ABS-CBN at First Philippine Holdings.

Nasa ilalim naman ng First Philippine Holdings ang First Gen, Energy Development Corporation, at Rockwell Land Corporation.

Ang Prime Infrastructure ay infrastructure company na ang majority shareholder ay ang business tycoon na si Enrique Razon.

TWO POISON PILLS THAT ALLEGEDLY BENEFITTED PIKI LOPEZ

Dagdag pa raw, sariling interes daw ang inisip ni Piki nang pirmahan nito ang dalawang "poison pills" nang hindi man lang kinonsulta ang majority stakeholders.

Sinasabing nakapaloob sa kontrata ng deals ni Piki sa Prime Infrastructure na hindi ito maaaring basta tanggalin sa puwesto para pangasiwaan ang mga proyektong naisara niya.

"If Piki and his designates are removed from their management roles, First Gen will pay Prime P24 billion and allow Prime to buy out First Gen from the gas and hydropower deals at a 25% discount.

"Through the poison pills, Piki secured his position as chairman and CEO and secured management control of the company, effectively making him indispensable because the cost of removing him, even for non-performance, would be too great.

"Piki’s fiduciary duty mandated him to place the interests of the beneficial owners above his own, ensuring he did not use his position for personal gain.

"This was not the case. Piki’s interests superseded those of his shareholders."

Ito raw ang dahilan kung bakit bumoto silang tanggalin si Piki sa puwesto bilang president at CEO ng Lopez Inc.

"To be clear, he will remain a board member — just not as president.

"Our only motive has been to do the right thing. It has never been to rob any one individual of their future or reputation."

"NOT AN EASY DECISION" FOR MAJORITY GROUP

Hindi raw ginusto ng majority group ng mga Lopez na talakayin sa publiko ang isyu, pero napilitan daw silang magpaliwanag dahil sa mga alegasyon ni Piki.

"This wasn’t an easy decision for us. And no, this wasn’t led by a single person or faction of the family.

"From the start, keeping our families intact and unscathed was of primary importance.

"It was never our intention to go down this path or to proceed as has unfolded."

Kinailangan daw nilang gumawa ng aksyon upang pangalagaan ang shareholders, employees, at legacy na iniwan ng founders ng kumpanya.

"We’re committed to being responsible and doing what’s best for everyone involved, constantly looking for ways to keep this ongoing battle focused solely on verifiable facts."

February 27, 2026 nang magbotohan ang directors ng Lopez Inc. para ma-oust bilang president si Piki.

Kinontra ito ni Piki at naghain ng reklamo sa korte.

Noong March 2026, nag-isyu ang korte ng writ of preliminary injunction na nag-uutos na manatiling presidente si Piki habang dinidinig pa ang kaso. Inaapela ito ng grupo ni Gabby.
